Partner Terms of Service — CallerAPI

These terms apply to mobile applications and services (the "Partner" or "you") integrating with CallerAPI LC to submit spam reports and/or access CallerAPI's live API or daily spam reports.

1. Acceptance of Terms

By integrating your application or service with CallerAPI LC ("CallerAPI"), or accessing CallerAPI's APIs, SDKs, files, or data feeds, you agree to be bound by these Partner Terms of Service ("Terms"). If you do not agree, do not integrate with or access CallerAPI.

2. Description of Services

  1. CallerAPI provides spam detection, caller identification, and related analytics via live APIs and/or daily spam report files (collectively, the "Services").
  2. Partners may submit spam reports and caller identification signals ("Partner Submissions") and may receive spam classifications, risk assessments, and related metadata ("CallerAPI Outputs").
  3. Partners must use the Services solely for legitimate anti-spam, caller ID, and call protection features for their end users, and not for unrelated purposes (e.g., marketing without consent, surveillance, or profiling beyond spam/caller ID use cases).

3. Access Credentials and Security

  1. CallerAPI may issue API keys or credentials. You are responsible for maintaining their confidentiality and for all usage under your account.
  2. You must implement reasonable and appropriate technical and organizational measures to protect credentials and data accessed via the Services from unauthorized use or disclosure.
  3. You must promptly notify CallerAPI of any suspected compromise or misuse of credentials or data.

4. Partner Submissions

  1. You represent and warrant that you have the necessary rights and lawful bases to submit Partner Submissions to CallerAPI, including appropriate end-user notices and consents where required by law or platform policy.
  2. You will not provide Partner Submissions that are knowingly inaccurate, misleading, or collected in violation of applicable laws.
  3. You grant CallerAPI a worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use, host, store, reproduce, analyze, modify, aggregate, anonymize, and create derivative works from Partner Submissions for the purposes of providing, maintaining, improving, and operating the Services; developing anti-spam intelligence; and sharing derived outputs with telecommunications carriers, dialers, and other customers to protect end users from unwanted calls.
  4. You acknowledge that CallerAPI may combine Partner Submissions with other data sources and may use aggregated and anonymized results for analytics, benchmarking, and product improvement.

5. Use of CallerAPI Outputs

  1. CallerAPI grants you a limited, non-exclusive, non-transferable, revocable license to use CallerAPI Outputs solely to provide anti-spam, caller identification, and call protection features within your application(s) for your end users.
  2. You may not resell, redistribute, or relicense CallerAPI Outputs as a standalone dataset or service, nor use the Outputs to create a competing product or to train generalized models unrelated to spam/caller ID.
  3. You must implement reasonable safeguards to prevent misuse and to respect applicable rights and restrictions.

6. Compliance with Laws and Platform Policies

  1. You are solely responsible for ensuring your integration and use of the Services complies with all applicable laws and regulations (e.g., GDPR, CCPA/CPRA, ePrivacy, telecom rules) and applicable app store or platform policies.
  2. Without limiting the foregoing, you must implement clear user notices and obtain required consents for any data collection or processing performed by your application or via your integration with CallerAPI.

7. Data Protection

  1. Each party will implement appropriate technical and organizational measures to protect personal data.
  2. Unless otherwise agreed in a separate Data Processing Addendum (DPA), the parties act as independent controllers for personal data that each party processes for its own purposes.
  3. If CallerAPI acts as your processor/service provider under a DPA, you will provide documented instructions that are lawful and necessary for CallerAPI to perform the Services.

8. Availability, Rate Limits, and Changes

  1. CallerAPI may apply rate limits, quotas, and usage restrictions. You will not circumvent any technical limitations or attempt to exceed authorized limits.
  2. CallerAPI may modify or discontinue the Services (in whole or part) with reasonable notice where feasible.
  3. CallerAPI may update these Terms from time to time. The most current version will be posted, and continued use after changes become effective constitutes acceptance.

9. Fees and Payment

  1. Fees, if any, are as set forth in an order form, pricing page, or other written agreement. Fees are non-refundable unless required by law.
  2. CallerAPI may change fees with notice, and your continued use after the effective date indicates your agreement to the updated pricing.

10. Intellectual Property

  1. CallerAPI retains all rights, title, and interest in and to the Services, APIs, documentation, and related technology.
  2. Except for the limited license to use CallerAPI Outputs set forth herein, no rights are granted by implication, estoppel, or otherwise.

11. Confidentiality

  1. Each party may disclose non-public information to the other ("Confidential Information"). The receiving party will use the same degree of care it uses to protect its own confidential information (and at least a reasonable degree of care) to protect the disclosing party’s Confidential Information and will not use or disclose it except as permitted by these Terms.
  2. Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, independently developed without reference to the Confidential Information, or rightfully obtained from third parties without restriction.

12. Warranties and Disclaimers

  1. You represent and warrant that you have all rights and permissions necessary to provide Partner Submissions and to use the Services as permitted by these Terms.
  2. THE SERVICES AND CALLERAPI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

13. Indemnification

You will indemnify, defend, and hold harmless CallerAPI, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your Partner Submissions; (b) your use of the Services or CallerAPI Outputs; or (c) your breach of these Terms or violation of law.

14. Limitation of Liability

  1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CALLERAPI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  2. CALLERAPI’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO CALLERAPI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

15. Term and Termination

  1. These Terms are effective upon your first access to the Services and continue until terminated.
  2. Either party may terminate for convenience with notice, or immediately for material breach by the other party.
  3. Upon termination, you will cease all use of the Services and CallerAPI Outputs, delete any cached Outputs, and destroy or return CallerAPI Confidential Information.

16. Export, Sanctions, and Telecommunications Rules

  1. You will comply with U.S. and other applicable export control and sanctions laws and telecommunications regulations in connection with your use of the Services.
  2. You will not use the Services for or on behalf of prohibited end users or for prohibited end uses.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland and, without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the federal courts located in Switzerland.

18. Miscellaneous

  1. Independent Contractors: The parties are independent contractors and not partners, agents, or joint venturers.
  2. Assignment: You may not assign these Terms without CallerAPI’s prior written consent. CallerAPI may assign to an affiliate or in connection with a merger, acquisition, or corporate reorganization.
  3. Entire Agreement: These Terms, together with any order forms, pricing pages, or DPAs, form the entire agreement regarding the subject matter and supersede prior understandings.
  4. Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
  5. No Waiver: Failure to enforce a provision is not a waiver of that provision.
  6. Notices: Notices to CallerAPI must be sent to support[at]callerapi.com and are deemed given upon receipt.
